SEBI Extends Digital Relaxation for Annual General Meetings (AGMs) Until September 2025.

On October 4, 2024, the Securities and Exchange Board of India (SEBI) announced an extension of the relaxation previously granted to listed companies regarding the requirement to send physical copies of financial statements to shareholders for Annual General Meetings (AGMs). This extension is valid until September 30, 2025, extending the original deadline from September 2024.


      - The extension covers compliance with Regulation 36(1)(b) and Regulation 44(4) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations.

      - On September 19, 2024, the Ministry of Corporate Affairs (MCA) issued a circular confirming the extension of this relaxation for AGMs conducted until September 30, 2025.

     

Main Points:-   (i) Listed companies must follow specific conditions outlined in SEBI’s Master Circular dated July 11, 2023.

      (ii) All relaxations are subject to the provisions of the Companies Act, 2013.

This move aims to facilitate smoother communication and compliance for listed companies during AGMs.
